Terms and Conditions

Welcome to TradePark ("Application", "App", "we", "us", or "our"). These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the TradePark mobile and web application, including any content, functionality, and services offered on or through the Application.

TradePark is a peer-to-peer parking spot trading platform that enables users to offer and find available parking spaces in real-time. By accessing or using TradePark, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Application.

Effective Date: December 8, 2025

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, including but not limited to the Data Privacy Act of 2012 (Republic Act No. 10173), the Electronic Commerce Act of 2000 (Republic Act No. 8792), and the Consumer Act of the Philippines (Republic Act No. 7394).

2.1 Eligibility

To use TradePark, you must be at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts under Philippine law. By using the Application, you represent and warrant that you meet these eligibility requirements.

2.2 Account Registration

To access certain features of the Application, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Maintain the security of your account credentials;
• Accept responsibility for all activities that occur under your account;
• Notify us immediately of any unauthorized use of your account.

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We shall not be liable for any loss or damage arising from your failure to comply with these security obligations. We reserve the right to disable any user account at any time if, in our opinion, you have violated any provision of these Terms.

3.1 Acceptable Use

By using TradePark, you agree to:

• Use the Application only for lawful purposes and in accordance with these Terms;
• Provide accurate information regarding parking spot availability and location;
• Honor all trades and commitments made through the Application;
• Conduct yourself respectfully when interacting with other Users;
• Comply with all applicable local, national, and international laws and regulations.

3.2 Prohibited Activities

You agree NOT to:

• Use the Application for any fraudulent, deceptive, or illegal purposes;
• Post false, misleading, or inaccurate information about parking spot availability;
• Manipulate or exploit the Park Points system;
• Harass, threaten, or intimidate other Users;
• Attempt to gain unauthorized access to the Application or its systems;
• Use automated systems, bots, or scripts to access the Application;
• Interfere with or disrupt the Application's infrastructure;
• Collect or harvest User data without authorization;
• Impersonate any person or entity;
• Violate any applicable laws or regulations of the Republic of the Philippines.

3.3 Trading Responsibilities

Users acknowledge that TradePark facilitates peer-to-peer parking spot trading. As such:

• Offerers are responsible for accurately representing parking spot availability;
• Seekers are responsible for verifying parking spot suitability;
• Both parties are responsible for completing trades in good faith;
• Users must resolve any disputes arising from trades in accordance with the dispute resolution provisions herein.

4.1 Nature of Park Points

Park Points are a virtual currency used within the TradePark Application to facilitate parking spot trades. Park Points:

• May be earned through offering parking spots or granted upon registration;
• May be consumed when accepting parking spot offers;
• Are non-transferable outside the Application's trading system;
• Future Capabilities: Park Points will be exchangeable for cash via e-wallet cashout (such as GCash, Maya, and other supported e-wallets) when this feature is implemented;
• Future Top-Up Options: Users will be able to purchase additional Park Points using e-wallet, debit cards, or credit cards when these payment features are implemented.

4.2 Escrow System

To ensure fair trading, Park Points are held in escrow during active trades. Points are only transferred upon successful completion of a trade as confirmed by both parties.

4.3 Forfeiture

We reserve the right to forfeit, adjust, or reset Park Points balances in cases of:

• Violation of these Terms;
• Fraudulent activity;
• System errors or technical issues;
• Account termination.

4.4 Future Monetary Features

When cashout and top-up features are implemented, additional terms and conditions specific to monetary transactions will apply. These may include:

• Minimum and maximum cashout amounts;
• Processing fees for cashout and top-up transactions;
• Identity verification requirements for monetary transactions;
• Compliance with applicable financial regulations of the Republic of the Philippines.

5.1 Our Intellectual Property

The Application and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by TradePark, its licensors, or other providers of such material and are protected by Philippine and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for personal, non-commercial purposes. This license does not include:

• Any resale or commercial use of the Application or its contents;
• Any derivative use of the Application or its contents;
• Any downloading or copying of account information;
• Any use of data mining, robots, or similar data gathering tools.

5.3 User Content

By submitting content through the Application, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with operating and improving the Application.

6.1 Data Privacy Compliance

We are committed to protecting your privacy and complying with the Data Privacy Act of 2012 (Republic Act No. 10173) and its Implementing Rules and Regulations. Our collection, use, and processing of personal data are detailed in our Privacy Policy, which forms an integral part of these Terms.

6.2 Data Collection

By using the Application, you consent to the collection and processing of:

• Account information (name, email address);
• Location data (for parking spot proximity features);
• Transaction history;
• Device information and usage data;
• Payment information (when e-wallet, debit, or credit card top-up features are implemented).

6.3 Your Rights

Under the Data Privacy Act of 2012, you have the right to:

• Be informed of the collection and processing of your personal data;
• Access your personal data;
• Object to the processing of your personal data;
• Request correction or erasure of your personal data;
• Lodge a complaint with the National Privacy Commission.

7.1 Disclaimer of Warranties

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Application will be uninterrupted, secure, or error-free;
• The results obtained from the Application will be accurate or reliable;
• Any defects in the Application will be corrected;
• Parking spots traded through the Application will meet your expectations.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE PHILIPPINE LAW, IN NO EVENT SHALL TRADEPARK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or use;
• Personal injury or property damage arising from your use of the Application;
• Any unauthorized access to or use of our servers;
• Any interruption or cessation of transmission;
• Any bugs, viruses, or similar harmful components;
• Any errors or omissions in any content;
• Disputes between Users;
• Any conduct of third parties on the Application.

7.3 Maximum Liability

Our total liability to you for any claims arising from or related to these Terms or your use of the Application shall not exceed the total amount of Park Points in your account at the time the claim arose, or ONE THOUSAND PHILIPPINE PESOS (PHP 1,000.00), whichever is less.

7.4 Platform Role

TradePark serves solely as a platform facilitating peer-to-peer parking spot trades. We are not a party to any trade between Users and bear no responsibility for:

• The quality, safety, or legality of parking spots;
• The accuracy of listing information;
• The ability of Users to complete trades;
• Any disputes arising between Users.

You agree to defend, indemnify, and hold harmless TradePark, its parent company, subsidiaries, affiliates, directors, officers, employees, agents, partners, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Application;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including any intellectual property or privacy right;
• Any claim that your use of the Application caused damage to a third party;
• Your breach of any applicable Philippine law or regulation.

This defense and indemnification obligation will survive these Terms and your use of the Application.

9.1 User Disputes

Disputes between Users regarding parking spot trades should first be resolved directly between the parties involved. TradePark may, at its sole discretion, provide assistance in resolving disputes but is not obligated to do so.

9.2 Disputes with TradePark

For any disputes between you and TradePark:

• Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at tradepark.app@gmail.com. We will attempt to resolve the dispute within thirty (30) days.
• Mediation: If informal resolution fails, either party may request mediation before a mutually agreed mediator in Cebu City, Philippines.
• Litigation: If mediation fails, disputes shall be resolved exclusively in the courts of Cebu City, Philippines, and you consent to the personal jurisdiction of such courts.

9.3 Class Action Waiver

TO THE EXTENT PERMITTED BY PHILIPPINE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

10.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature (if available). Upon termination, your right to use the Application will immediately cease.

10.2 Termination by Us

We may terminate or suspend your account and access to the Application immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

10.3 Effect of Termination

Upon termination:

• All licenses granted to you will immediately terminate;
• You must cease all use of the Application;
• Any Park Points remaining in your account may be forfeited;
• Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of these Terms;
• For material changes, we will provide notice through the Application or via email;
• We encourage you to review these Terms periodically.

Your continued use of the Application after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Application.

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TradePark regarding your use of the Application.

12.2 Severability

If any provision of these Terms is held to be invalid or unenforceable under Philippine law, such provision shall be struck and the remaining provisions shall be enforced.

12.3 Waiver

The failure of TradePark to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

12.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

12.6 Language

These Terms are written in English. Any translation is provided for convenience only. In case of any discrepancy, the English version shall prevail.
